1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you and CFD Service Company, Inc., doing business as Sapphire Guard (“Sapphire Guard,” “we,” “our,” or “us”), governing your access to and use of the Sapphire Guard cosigner service program, financial literacy course, and budget tracking platform (collectively, the “Service”).
By submitting an application, signing the cosigner service agreement, or using any part of our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.
2. Description of Services
Sapphire Guard provides a cosigner service program designed to help qualified tenants secure rental housing by co-signing their lease with property management companies. The Service consists of three integrated components:
- Cosigner Service: Upon successful completion of all program requirements and payment of the service fee, Sapphire Guard co-signs the applicant’s residential lease agreement with the designated property management company or landlord.
- Financial Literacy Education: A six-module online financial literacy course covering budgeting, money management, credit, savings, and wealth-building strategies for renters. A passing score of 80% or higher on the final exam is required to proceed.
- Budget Tracking Program: Active clients are required to submit monthly budget reports documenting planned versus actual income and expenses. This program is a condition of maintaining active cosigner services.
3. Eligibility
To be eligible to apply for Sapphire Guard cosigner services, you must:
- Be at least 18 years of age;
- Have been referred to Sapphire Guard by a participating property management company or leasing agent — Sapphire Guard does not accept unsolicited applications from the general public;
- Have a qualifying rental property and lease for which cosigner services are requested;
- Be able to provide income documentation sufficient to demonstrate the ability to pay rent;
- Complete all program requirements as described in Section 4.
Submission of an application does not guarantee approval. Sapphire Guard reserves the right to deny cosigner services to any applicant at its sole discretion.
4. Program Requirements
To qualify for and maintain Sapphire Guard cosigner services, clients must fulfill the following requirements:
4.1 Financial Literacy Course
Applicants must complete all six (6) modules of the Sapphire Guard Financial Literacy Course and pass the final examination with a score of 80% or higher (16 out of 20 correct answers). The course covers fundamental financial literacy topics relevant to successful tenancy.
4.2 Cosigner Service Agreement
Applicants must review, understand, and electronically sign the Sapphire Guard Cosigner Service Agreement (the “Waiver”). This agreement details the terms of the cosigner relationship, client obligations, and consequences of default. The signed waiver is retained by Sapphire Guard as part of the client record.
4.3 Monthly Budget Submissions
Active clients must submit a completed monthly budget report by the 15th of each month documenting planned and actual income and expenses for the prior month. Failure to submit timely budget reports is a material breach of the client agreement and may result in termination of cosigner services.
4.4 Accurate Financial Information
All financial information provided to Sapphire Guard, including income documentation, application data, and monthly budget submissions, must be accurate, complete, and not misleading. Providing false or fraudulent information is grounds for immediate termination of services and may subject you to legal liability.
5. Fee Structure
The Sapphire Guard cosigner service requires payment of a one-time service fee as follows:
- Service Fee Amount: The service fee is equal to one (1) month’s rent for the qualifying rental unit, as stated in your application.
- When Due: The service fee is due upon approval and before Sapphire Guard co-signs your lease. A payment link will be sent to you by email from the Sapphire Guard administrative team via Paysley upon final approval.
- Non-Refundable: The service fee is non-refundable once Sapphire Guard has co-signed the lease on your behalf. If you withdraw your application before the lease is co-signed, please contact us to discuss your situation.
- No Recurring Fees: There are no monthly or recurring fees associated with the cosigner service itself. The budget tracking program is included as part of the service at no additional charge.
- Payment Method: Payments are processed securely through Paysley. Sapphire Guard does not store payment card information.
6. Client Obligations
As a Sapphire Guard client, you agree to the following obligations for the duration of your cosigner service relationship:
- Timely Rent Payment: You agree to pay rent to your landlord on time and in full as required by your lease agreement. Sapphire Guard’s co-signature creates a legal obligation; late or missed rent payments may result in financial liability for Sapphire Guard and will constitute a breach of your obligations under these Terms.
- Monthly Budget Reports: You agree to submit a complete and accurate monthly budget report by the 15th of each month throughout your active client status.
- Notification of Material Changes: You agree to promptly notify Sapphire Guard of any material changes to your financial situation, employment status, or tenancy, including job loss, significant income reduction, or impending inability to pay rent.
- Lease Compliance: You agree to comply with all terms of your lease agreement and to not engage in activities that would give your landlord grounds to terminate the lease.
- Program Participation: You agree to remain engaged with the Sapphire Guard program, respond to communications in a timely manner, and fulfill all program requirements throughout the cosigner relationship.
- Indemnification: You agree to indemnify, defend, and hold harmless Sapphire Guard, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, your lease agreement, or any fraudulent or negligent conduct on your part.
7. Sapphire Guard’s Obligations
In exchange for your fulfillment of program requirements and payment of the service fee, Sapphire Guard agrees to:
- Co-Sign Qualified Leases: Upon completion of all program requirements and receipt of the service fee, Sapphire Guard will co-sign your qualifying residential lease with the designated property management company or landlord.
- Provide Financial Education: Make the six-module financial literacy course and final examination available to all enrolled applicants at no additional charge.
- Maintain Confidentiality: Handle your personal and financial information in accordance with our Privacy Policy and not disclose your financial records to third parties except as described therein.
- Communicate Promptly: Respond to program-related inquiries within a reasonable timeframe and notify you of your application status.
- Provide Budget Tracking: Maintain and make available the monthly budget submission platform for the duration of your active client status.
8. Termination of Services
8.1 Termination by Sapphire Guard
Sapphire Guard may terminate cosigner services, with or without notice, in the event that:
- You fail to submit required monthly budget reports for two (2) or more consecutive months;
- You provide false, fraudulent, or materially misleading information in your application or budget submissions;
- You are evicted or your landlord initiates eviction proceedings against you;
- You breach any material obligation under these Terms or the Cosigner Service Agreement;
- Your lease expires and is not renewed; or
- Sapphire Guard ceases operations or is unable to continue providing services.
8.2 Termination by Client
You may terminate your participation in the Sapphire Guard program at any time by contacting us at inquiries@sapphireguard.com. You acknowledge that termination of the program does not relieve you of any obligations under your lease agreement or any liability to Sapphire Guard arising from your participation.
8.3 Effect of Termination
Upon termination of cosigner services, Sapphire Guard’s obligation to co-sign future lease renewals ceases. Any existing co-signed lease remains in effect until its natural expiration. Sapphire Guard retains the right to seek reimbursement for any financial losses incurred as a result of your breach of these Terms.
9. Limitation of Liability
To the fullest extent permitted by applicable law:
- Sapphire Guard’s total liability to you for any claim arising from or related to the Service shall not exceed the amount of the service fee paid by you.
- Sapphire Guard shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of housing, loss of income, or any other economic harm, even if Sapphire Guard has been advised of the possibility of such damages.
- Sapphire Guard does not guarantee that a landlord or property management company will accept our co-signature or approve a lease. Our co-signature is offered in good faith and does not guarantee tenancy.
- Sapphire Guard is not responsible for any actions or omissions of landlords, property management companies, or other third parties.
10. Disclaimer of Warranties
The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of laws provisions. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Cuyahoga County, Ohio.
Before initiating any legal proceeding, you agree to first contact Sapphire Guard at inquiries@sapphireguard.com and give us a reasonable opportunity (not less than 30 days) to resolve the dispute informally.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last updated” date. Your continued use of the Service following any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, please contact us to discuss termination of services.
13. Entire Agreement
These Terms, together with the Cosigner Service Agreement (Waiver) you sign and our Privacy Policy, constitute the entire agreement between you and Sapphire Guard with respect to the Service and supersede all prior agreements, understandings, and representations. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
